1. MAINTENANCE SERVICES.

• Access to RFID EncoCheck Cloud - this access provides global duplication check, full back up of every record QC-ed by each location.

• Automatic database archiving - will be managed according to each location minimum and maximum threshold.

• GS1 Integration - for those customers using standard SGTIN-96.

• Monthly and Yearly analysis reports.

• 10 hours annually of development per site for software enhancements.

• RFID EncoCheck Toolbox - new add-on that will allow users to perform various optimization tasks.

• Adaptive maintenance - costs due to modifying a software solution to allow it to remain effective

2. LICENSE MAINTENANCE TERMS.

• This License is effective when executed by both parties and the license maintenance granted to the Software remains in force until Licensee stops using the Software or until Licensor terminates this License maintenance because of Licensee's failure to comply with any of its terms and conditions.

• We do require a valid software maintenance agreement per each location, if they chose to discontinue their coverage now, when they purchase additional licenses, they would be required to pay the back maintenance, plus a year going forward.

3. LICENSE FEE.

• TERMINATION. Licensor shall have the right to immediately terminate this License if Licensee fails to perform any obligation required of Licensee under this Maintenance Agreement or if Licensee becomes bankrupt or insolvent.

4. CONFIDENTIALITY.

• Licensee will treat the Software as a trade secret and proprietary know-how belonging to Licensor that is being made available to Licensee in confidence. Licensee agrees to treat the Software with at least the same care as it treats its own confidential or proprietary information.
